Terms of Service

These Terms of Service ("Terms") govern your use of the services provided by OUTSOURCED SG PTE. LTD. ("Outsourced SG", "we", "us", or "our"), a company incorporated in Singapore (UEN: [pending registration]).

By engaging our services, you ("Client", "you") agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Services

Outsourced SG provides software development outsourcing services, including but not limited to:

• Provision of dedicated software developers for client projects
• Developer vetting, screening, and matching
• Employment management, payroll, and benefits administration for developers
• Account management and coordination services

2. Engagement Structure

Developers provided through our service are employees or contractors of Outsourced SG, not of the Client. The relationship between the Client and Outsourced SG is a business-to-business services relationship.

The Client directs the day-to-day work of assigned developers, including task assignments, project priorities, and development standards.

3. Fees and Payment

• Fees are charged monthly per developer seat as specified in the service agreement.
• Payment is due within 14 days of invoice date.
• All fees are quoted in USD unless otherwise specified.
• Late payments may incur interest at 1.5% per month.

4. Intellectual Property

All code, designs, documentation, and other work product created by developers during their engagement belong exclusively to the Client. Outsourced SG assigns all intellectual property rights to the Client upon payment.

5. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. This includes but is not limited to business plans, source code, customer data, and financial information. Developers sign individual NDAs as part of their engagement.

6. Cancellation and Termination

• Either party may terminate the engagement with 30 days written notice.
• No early termination penalties apply.
• Outstanding fees for services rendered prior to termination remain payable.

7. Replacement Guarantee

If a developer does not meet the Client's expectations within the first 30 days, Outsourced SG will provide a replacement developer at no additional cost. The Client must provide specific, reasonable feedback about the performance issue.

8. Limitation of Liability

To the maximum extent permitted by law, Outsourced SG's total liability to the Client shall not exceed the fees paid by the Client in the 3 months preceding the claim. Outsourced SG is not liable for indirect, consequential, or incidental damages.

9. Non-Solicitation

During the engagement and for 12 months after termination, the Client agrees not to directly hire or solicit Outsourced SG developers without written consent. If the Client wishes to hire a developer directly, a placement fee may apply as specified in the service agreement.

10. Governing Law

These Terms are governed by the laws of the Republic of Singapore. Any disputes shall be resolved through arbitration in Singapore under the rules of the Singapore International Arbitration Centre (SIAC).

11. Changes to Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our services constitutes acceptance of the updated Terms.
